1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of all Crulon services, including all related features and applications.

Crulon is a product operated by Vyper Solutions LLC ("Company", "we", "us", or "our").

By accessing or using Crulon, you agree to these Terms. If you don't agree, don't use our services.

Authority: By accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Our Services

Crulon provides AI-powered voice agents and automated customer support solutions. Our services include:

  • Automated call handling

  • Call recording, transcription, and analysis

  • AI-powered insights and sentiment analysis

  • Integration with your existing infrastructure

We may modify, update, or discontinue features at any time.

3. Account Registration and Access

To use our service, you must:

  • Create an account with accurate information

  • Maintain the security of your account credentials

  • Be at least 18 years old and legally able to enter contracts

  • Comply with all applicable laws

You're responsible for all activity under your account.

4. Acceptable Use

You May:

  • Use our services for lawful business purposes

  • Access our website and resources

  • Integrate our service with your operations

You May Not:

  • Use our services for any illegal purpose

  • Violate any laws or regulations

  • Attempt to gain unauthorized access to our systems

  • Interfere with or disrupt service operation

  • Use our service to harass, abuse, or harm others

  • Reverse engineer or copy our software or AI models

  • Resell or redistribute our services without permission

  • Use automated tools to scrape or extract data

  • Transmit viruses, malware, or harmful code

Your Obligations: You are solely responsible for:

  • Obtaining all required consents before recording calls

  • Complying with all applicable call recording laws

  • Providing appropriate disclosures to call participants

  • Ensuring you have legal authority to record in your jurisdiction

Indemnification: You agree to indemnify and hold Crulon harmless from any claims, damages, or liabilities arising from your failure to comply with call recording laws.

Our Role: We provide technology to enable call recording. We do not provide legal advice and make no representations about the legality of your recording practices. Consult with legal counsel.

6. Data Ownership and License

You Own Your Data: You retain all ownership rights to:

  • Call recordings and transcripts

  • Customer data processed through our service

  • Any content you upload or input

License to Us: You grant Crulon a limited license to process your data solely to provide our services. This license terminates when you delete your data or close your account.

Aggregated Data: We may create anonymized, aggregated statistics from service usage (not including your specific customer data) to improve our services and for analytics purposes.

Data Responsibility: You represent and warrant that:

  • You have all necessary rights to upload and process data through our service

  • Your data doesn't violate any laws or third-party rights

  • You've obtained all necessary consents from your customers

7. Intellectual Property

All Crulon content, including our website, software, AI models, code, logos, is our property and protected by intellectual property laws.

You may not copy, modify, distribute, or create derivative works without our written permission.

8. Payment and Billing

Fees: You agree to pay all fees associated with your subscription plan including any overage usage fee as well. Fees are charged according to your selected billing cycle.

Payment Method: You must provide valid payment information. You authorize us to charge your payment method for all fees.

Automatic Renewal: Subscriptions automatically renew unless you cancel before the renewal date.

Refunds: Fees are non-refundable except as required by law or as explicitly stated in your agreement with us.

Changes to Fees: We may change our fees with 30 days' notice. Continued use after the notice period constitutes acceptance.

9. AI Technology and Limitations

AI-Powered Service: Our service uses artificial intelligence and machine learning for voice processing, transcription, and analysis.

No Guarantee of Accuracy: While we strive to make our platform error-free and best-in-class, please note that AI systems may still produce errors, inaccuracies, or unexpected outputs. You acknowledge that:

  • Transcriptions may contain errors

  • AI insights and sentiment analysis may be incorrect

  • Responses may not always be appropriate

Your Responsibility: You must review and verify AI-generated outputs before relying on them for cirital operations.

No Training on Your Data: We don't use your customer data to train general-purpose AI models or to improve service for other customers.

10. Third-Party Services

Our services may integrate with or link to third-party platforms. We're not responsible for third-party services, their terms, or their privacy practices.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We make no warranty that our services will:

  • Meet your specific requirements or expectations

  • Be uninterrupted, timely, secure, or error-free

  • Produce accurate or error-free results

  • Be compatible with all systems or integrations

  • Prevent all security breaches or data loss

You use our services at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRULON SHALL NOT BE LIABLE FOR:

Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages, including:

  • Loss of profits or revenue

  • Loss of data or business information

  • Business interruption

  • Loss of goodwill or reputation

  • Cost of replacement services

Direct Damages Cap: Our total liability for all claims related to our services shall not exceed the greater of:

  • (a) The amount you paid us in the 12 months before the claim, or

  • (b) $100 USD

This limitation applies regardless of the legal theory (contract, tort, negligence, etc.) and even if we've been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Crulon and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from:

  • Your use of our services

  • Your violation of these Terms

  • Your violation of any laws or regulations

  • Your failure to comply with call recording laws

  • Your data or content

  • Your violation of any third-party rights

  • Claims from your customers or call participants

14. Term and Termination

Term: These Terms remain in effect while you use our services.

Termination by You: You may cancel your account at any time by contacting support.

Termination by Us: We may suspend or terminate your access if you:

  • Violate these Terms

  • Engage in fraudulent or illegal activity

  • Fail to pay fees

  • Pose a security or legal risk

Effect of Termination:

  • Your right to use our services immediately ceases

  • We may delete your account and data after a reasonable retention period

  • You remain liable for all fees incurred before termination

  • Sections regarding liability, indemnification, and disputes survive termination

15. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top shows the last revision.

Notice: We'll notify you of material changes via email or through our service at least 30 days before they take effect.

Acceptance: Continued use of our services after changes take effect constitutes acceptance. If you don't agree, you must stop using our services and cancel your account.

16. Governing Law and Disputes

Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

Informal Resolution: Before filing a claim, you agree to contact us at support@crulon.ai to attempt to resolve the dispute informally.

17. General Provisions

Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

No Waiver: Our failure to enforce any right or provision doesn't constitute a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Crulon.

No Agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship.
